1. Acceptance of Terms

These Terms & Conditions (“Terms”) constitute a legal agreement between you and Oriol Infotech Solutions Pvt. Ltd. (“we”, “us”, “our”) governing your use of Oriol AI, including the Digital Marketing Bot, Website Support Agent widget, dashboards, APIs, and any related services, content, or features. If you do not agree, do not use the Service.

2. Eligibility & Account

• You must be at least 18 years old to use the Service.
• You are responsible for the accuracy of your account information and for maintaining the security of your login credentials (OTP, password, Google Sign-In).
• You are responsible for all activities under your account and must notify us of any unauthorized use.

3. Services

Oriol AI provides AI-powered marketing campaign generation, a website support agent (embeddable widget), analytics, and related automation tools. We may add, modify, or discontinue features at any time with or without notice, provided no ongoing paid subscription benefits are materially reduced during a paid term without compensation or alternatives.

4. Subscriptions, Plans & Billing

• The Service is offered on a subscription basis with plan limits (e.g., monthly message quotas for the website agent). Limits and entitlements are documented on the Pricing page and/or your dashboard.
• Payments are processed via authorized gateways (e.g., Razorpay). You authorize us and our payment partners to charge your selected payment method for subscription fees, taxes, and any applicable charges.
• Subscriptions renew automatically unless you cancel before the renewal date. You can manage or cancel from your account (where available) or by contacting support.
• If payment fails, we may suspend or downgrade your account until payment is successful.

5. Refunds & Cancellations

Unless otherwise stated on our Refund Policy page or mandated by law, subscription fees are non-refundable once a billing cycle has started, especially where usage has occurred. For mistaken charges or proven billing issues, contact support within 7 days for review.

6. Acceptable Use & Fair Usage

• No misuse, scraping, spamming, or attempts to bypass plan limits or security.
• No illegal content, malware, or rights-infringing material via inputs or outputs.
• Widget usage is domain-restricted; you may only embed on registered, approved domains.
• We may rate-limit, throttle, or suspend access to protect platform stability or prevent abuse.

7. AI Output & Responsibility

Our AI features generate content based on your prompts and data. Outputs may contain inaccuracies or require human review. You are responsible for verifying AI-generated content before use. We disclaim liability for decisions made based on AI outputs, including marketing performance, compliance, or third-party policies.

8. Intellectual Property

• We (or our licensors) own all rights in and to the Service, including software, branding, designs, and documentation. Except as expressly permitted, you may not copy, modify, reverse engineer, or create derivative works of the Service.
• You retain rights to your content and prompts. By using the Service, you grant us a limited license to process your content solely to provide and improve the Service.

9. Data, Privacy & Security

We handle personal data per our Privacy Policy. You agree to that policy and to our use of necessary third-party providers (e.g., hosting, analytics, payment gateways) to operate the Service securely and reliably.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted or error-free operation. Maintenance windows and third-party incidents may affect availability. We will make reasonable efforts to communicate major incidents or changes affecting your use of the Service.

11. Third-Party Services

The Service may integrate with third-party services (e.g., Razorpay, Google Sign-In). Their terms, privacy practices, and availability are outside our control. You agree to comply with any third-party terms that apply to your use of those services.

12. Compliance & Legal Use

You are responsible for complying with applicable laws, industry guidelines, and platform policies (e.g., ads networks, app stores, email senders) when using AI-generated content or automations.

13. Suspension & Termination

• We may suspend or terminate access for violations of these Terms, non-payment, suspected fraud, security risks, or as required by law.
• Upon termination, your access will cease. Certain sections (e.g., IP, liability, governing law) survive termination.

14. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, or loss of data, arising from your use of the Service. Our aggregate liability shall not exceed the amount paid by you to us in the 3 months preceding the claim.

15. Indemnity

You agree to indemnify and hold Oriol Infotech Solutions Pvt. Ltd. and its officers, directors, employees, and agents harmless from claims arising out of your content, use of the Service, violation of these Terms, or infringement of any rights of a third party.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via the dashboard, email, or the Site. Continued use after changes constitutes acceptance of the revised Terms.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts located in Indore, Madhya Pradesh, India shall have exclusive jurisdiction, subject to any applicable statutory rights.
